What does an Indian utility buy into when it takes a stake in an overseas transmission company?

The Independent Expert tender launched on October 6, 2026, helps explain the answer. Mwanga Transmission Company Limited is seeking a consultant for at least 48 months, with submissions due October 29. The notice names Africa50 and POWERGRID as the consortium, and Kenya Electricity Transmission Company, or KETRACO, as contracting authority.

The Breakdown

POWERGRID’s May 18, 2026, investor presentation reported that Mwanga had been incorporated, with POWERGRID holding 40% and Africa50 60%. Equity shares do not establish paid-in amounts or each shareholder’s share of total project funding.

What the project company must deliver

KETRACO’s December 15, 2025, announcement describes a 30-year concession covering design, construction, financing, operation and maintenance. At its end, the assets are to return to KETRACO in good condition and without encumbrances.

KETRACO says availability payments begin after independent certification of completed works and remain linked to performance. Operating delivery therefore matters to the disclosed commercial model. The announcement does not establish payment guarantees or detailed deductions for underperformance.

POWERGRID’s participation is in a company with continuing responsibilities. The equity disclosure does not establish that the Indian shareholder directly assumes every company obligation.

NTPC is at a different stage

A separate October 15, 2026, cooperation agreement between NTPC and Africa50 concerns potential generation projects and cross-border electricity trading across Africa. Africa50 would identify opportunities and structure investment; NTPC would help assess technical feasibility and develop engineering solutions.

That release identifies no individual project, investment amount or implementation date. It describes a route towards developing opportunities. It does not put NTPC into Mwanga or establish an awarded power project.

What remains to be demonstrated

These disclosures do not establish financial close, construction completion or realised returns. The advertised expert selection establishes procurement activity; those milestones need separate evidence.

The Crunch

An overseas equity stake calls for understanding the project company’s continuing responsibilities.
