Bluspring’s Q2 profit rebounds as acquisitions reshape its business

3 minutes

Consolidated quarterly profit was ₹12.7 crore. The ₹32 crore headline figure excludes foundit, while acquisitions have changed the revenue comparison.

Original Makhana Mornings graphic for Bluspring Q2 FY2026–27. PAT excluding foundit is ₹32 crore. Total consolidated profit after tax is ₹12.7 crore. Profit attributable to Bluspring owners is ₹13.95 crore after allocating losses to non-controlling interests. The figures have different reporting perimeters and ownership allocations.

Bluspring Enterprises returned to a consolidated quarterly profit as acquisitions expanded its energy and catering businesses. Revenue from operations rose 48.3% year on year to ₹1,271.7 crore in the September quarter, while profit after tax was ₹12.7 crore, compared with ₹3.5 crore a year earlier and a ₹1.6 crore loss in the June quarter.

There is an important distinction in the earnings numbers. The company’s prominently reported ₹32 crore profit and 95% profit growth exclude foundit, its recruitment-platform business. They describe a narrower business perimeter than the consolidated results.

The Breakdown

Excluding foundit, Bluspring reported quarterly revenue of ₹1,250 crore and EBITDA of ₹67 crore, with an EBITDA margin of 5.4%. Foundit itself generated roughly ₹22 crore of revenue and reported an EBITDA loss of about ₹12 crore before employee stock-option costs.

Across the full group, profit attributable to Bluspring’s shareholders was ₹13.95 crore. That differs from the ₹12.7 crore total consolidated profit because non-controlling shareholders were allocated a share of losses. The ₹32 crore, ₹13.95 crore and ₹12.7 crore figures should therefore not be used interchangeably.

The biggest change in sales came from Smart Infra, Energy and Engineering. Its quarterly revenue reached ₹448.7 crore, up from ₹155.2 crore a year earlier. The segment now includes STEAG Energy Services India, acquired in May. Its results have been consolidated from May 21.

Bluspring also acquired LSG Sky Chefs India on August 6, adding aviation catering to Facility Management and Food Services. That segment’s revenue rose about 17% to ₹600.6 crore, with LSG’s contribution included from the acquisition date. Security Services revenue increased about 20% to ₹200.7 crore.

Why This Matters

The acquisitions change both the size and the mix of the business being compared with last year. The reported growth cannot be read as an organic growth rate for the operations Bluspring already owned. A fuller assessment needs to distinguish acquired revenue from growth within the existing businesses.

The new mix is also shifting where operating earnings come from. Smart Infra, Energy and Engineering reported an EBITDA margin of 10.9%, compared with 4.7% for Facility and Food Services and 3.2% for Security Services in the company’s operating presentation. Growing a higher-margin activity can improve the overall mix, provided integration and service delivery hold up.

There are costs below the operating-profit line to consider too. Quarterly finance costs increased to ₹18.3 crore from ₹7.8 crore a year earlier, while depreciation and amortisation rose to ₹20 crore from ₹12.7 crore. Those charges help explain why stronger operating earnings do not translate one-for-one into profit after tax.

Cash generation improved: consolidated operating cash flow for the first half was positive ₹54.7 crore, compared with an outflow of ₹126.8 crore a year earlier. That is a useful complement to the profit recovery, though a half-year cash-flow number should not be treated as cash generated in the September quarter alone.

The Crunch

Bluspring is becoming a larger and more varied services business. The next test is how well it integrates the acquisitions, converts earnings into cash and reduces foundit’s losses. For readers tracking the recovery, keeping the consolidated and foundit-excluded numbers separate is the starting point.
