AdaniConneX signs ₹1,085 crore deal for Vizag development assets

2 minutes

The proposed purchase brings land and licences into AdaniConneX. The target has yet to begin operations, so construction and commercial delivery remain the next tests.

AdaniConneX agrees to acquire 100% of Vizag Mega Data Center Park for ₹1,085.51 crore. The target has nil turnover and is not operational. Completion is expected by November 10, 2026.

AdaniConneX has agreed to buy Vizag Mega Data Center Park for ₹1,085.51 crore in cash, securing a company that holds land and key infrastructure licences but has yet to begin commercial operations. The deal advances the groundwork for development; it does not add an operating data centre to the joint venture’s portfolio.

The share purchase agreement was signed on November 5, 2026, with completion expected by November 10. AdaniConneX will acquire the target’s entire equity from Adani Infra (India). Adani Enterprises disclosed the agreement on November 6.

The Breakdown

Vizag Mega Data Center Park was incorporated on February 3, 2026. It has reported no turnover and has paid-up share capital of ₹1 lakh. Its identified assets include a land parcel and licences to begin infrastructure development activities.

The purchase price therefore needs to be understood in the context of those development assets and the opportunity to build on them, rather than current sales. Paid-up share capital records the nominal capital actually paid on a company’s shares; it is not a valuation of its land or other assets.

AdaniConneX is the data-centre joint venture between Adani Enterprises and EdgeConneX. Bringing the target under its ownership would place the land and licences within the business responsible for developing and operating data centres.

Adani Enterprises says no governmental or regulatory approvals are required for this acquisition. That statement concerns the share purchase. It should not be read as a claim that every approval required to construct and operate a future facility has already been obtained.

Why This Matters

Data-centre development starts well before servers are installed. Access to a suitable site, permissions, power and connectivity determines whether a project can move from a plan to a functioning facility. Acquiring a company that already holds land and key licences can move some of that preparatory work forward.

The commercial result will depend on what is built next. The transaction details do not specify the land area, planned megawatts, construction budget, customer contracts or date for the start of operations. The ₹1,085.51 crore share purchase price should not be treated as the total cost of a completed data-centre campus.

The ownership context also needs precise wording. The target is controlled directly or indirectly by Adani Enterprises’ promoter group. Adani Enterprises says the acquisition by its joint venture is not a related-party transaction for the listed company under SEBI’s listing regulations, and that the deal is on an arm’s-length basis. These are the company’s stated transaction terms; they do not provide a separate asset valuation.

The Crunch

This is a sizeable commitment to development-stage infrastructure. Closing the acquisition would establish ownership of the target; construction progress, power availability and eventual customer delivery will determine how that commitment translates into an operating business. For now, the useful distinction is between securing the inputs for capacity and bringing capacity into service.
